January 19, 2005, OECI accepted an offer from its major shareholder, PureNet.TV Canada Inc. ("PureNet") for PureNet to acquire the balance of the outstanding Common Shares of OECI not held by PureNet. PureNet has made an offer to acquire the remaining OECI shares in an exchange on a one-for-one basis for PureNet.TV Canada Inc.

On January 3, 2005, OECI announced it has closed on its acquisition of the IPTV business of PureNet.TV Canada Inc. as previously announced on December 29, 2004. According to the Agreement, Orbit E-Commerce has acquired all of the assets of PureNet.TV Canada Inc. and strategic partnerships with equipment, software and content suppliers in exchange for 15 million restricted voting common shares.
